Terms of sale

  1. IN GENERAL

These general conditions of sale govern the contractual relationship resulting from the acceptance by Techtronics Ltd, (hereafter Techtronics), with registered office in Sofia, Bulgaria, municipality Stolichna, Ovcha Kupel district, Montevideo Blvd. 21, of the proposal /customer’s purchase order and replace the versions contained in previous catalogues, as well as any other agreement reached between the parties, except as possibly agreed in writing and with express reference to these general conditions of sale, derogating from the content, on Techtronics letterhead Ltd duly signed by a legal representative of the same.

These terms and conditions of sale are current as of April 2023. However, Techtronics reserves the right to change its terms and conditions of sale from time to time, at its sole discretion. The most updated version of the same will in any case be published on the website www.techtronics.it. The customer is therefore required to check, when sending the purchase offer/order, the text of the general conditions of sale in force, which will be applicable to the contract with Techtronics in the event of acceptance of the purchase offer/order.

All descriptions and illustrations contained in the Techtronics Catalog or website (the “Catalogue”), or in other Techtronics marketing literature are intended only to give the customer a general idea of ​​the products or items and shall not form part of the agreement between Techtronics and the customer.

  1. PRICES

The prices shown in the Catalog or on the www.techtronics.it web portal do not include VAT, which will be applied at the rate in force on the invoice date. The prices indicated in the catalog and on the website may vary. In the event that the price of the product or item ordered shown in the Techtronics Ltd price list in force at the time of receipt of the order is different from that indicated by the customer in the order form, Techtronics will promptly contact the customer, who will the right to confirm or not the purchase order. Where prices are not expressly indicated or in the case of supplies relating to items not present in the Catalogue, prices must be specifically agreed and confirmed in writing by Techtronics before shipment of the product. Techtronics does not, under any circumstances, issue a pro forma invoice.

  1. PURCHASE ORDERS

Purchase orders may be sent by the customer (i) according to the methods indicated in the introductory pages of the Catalogue, or (ii) via the Internet. Further information, (in relation, among other things, to the technical steps to be followed for the conclusion of the contract, the way in which the concluded contract will be filed, the relative access methods and the correction of data entry errors before forwarding the order, etc) in the event of a purchase via the web portal, are indicated at the Internet address under the “Services” label. The order will be considered as a contractual proposal, since the Catalog and the display of the products or articles on the virtual showcase of the site have only an informative function and, therefore, an invitation to offer. Unless otherwise indicated with regard to orders placed online, acceptance by Techtronics may also take place through direct execution of the orders, without the need for prior formal acceptance of the order. Long-term orders may have a maximum duration of 12 months from the date of issue of the order.

  1. DELIVERIES

The shipping and handling costs of the product are charged to the customer and are shown in the following conditions of sale, under the chapter “Shipping costs”, unless a different delivery service is specifically requested by the customer and agreed with Techtronics.

Same-day shipping, regardless of the transport system used and whenever possible, will normally be carried out only for orders received on working days between 8.00 and 19.00. Techtronics is usually able to deliver in Italy with an average delivery time of 24/48 hours. The “Program Order” service is also available, with delayed delivery, to be specified in the notes field when ordering. However, it is understood that the delivery terms must be understood as non-essential. Techtronics reserves the right to change the shipping cost during the validity period of the Catalog. Since the shipping costs shown in the Catalog may not be updated, customers are required to check the relative amounts on the website under the “Shipping costs” label. For orders not sent online, if the transport cost is higher than indicated in the Catalogue, the relative amount will be communicated by Techtronics to the customer before shipping, which will take place only after the customer has accepted the new amount within 3 (three) days of notice from Techtronics. If Techtronics expects to be unable to meet the delivery terms indicated, without this implying any liability towards the customer, it will communicate the new delivery conditions of the item to the same, who will have to confirm the order, as amended, within 3 (three) days of the communication from Techtronics. Unless otherwise agreed, delivery will be made to the address specified by the customer in the order.

  1. REVIEW OF PRODUCTS, DELAYS AND NON-DELIVERY

The customer is required to examine the goods received accurately at the time of delivery and to notify Techtronics in detail, within 8 (eight) days of delivery, of any defects found – or that may be found – as a result of this examination, or to propose any other complaint in relation to the products. In the event that the customer does not make the above communication, the items will be considered definitively accepted and compliant with what is requested in the order, without prejudice to the possibility, available within and no later than 1 (one) year from delivery, to assert any non-apparent defects, provided that the relative report has been made within 8 (eight) days of their discovery (in compliance with the provisions of article 1495 of the civil code). It is understood that the customer must refuse the delivery, by the carrier, of packages with damaged packaging and must, in this regard, immediately inform Techtronics of the incident; otherwise, the delivered goods will be considered accepted in full in the state in which they are at that moment. For purposes of review of the products or articles, the customer acknowledges that Techtronics does not author or view the software that may be contained therein. The customer must therefore carry out, under his sole responsibility, before using the product or article, all reasonable checks to verify that the software contained in the products purchased make them suitable for use or are not affected by computer viruses or from other defects that may damage the item or the goods that come into contact with it.

  1. PASSAGE OF RISK AND OWNERSHIP

Ownership of the goods passes to the customer when the goods are handed over to the carrier for delivery to the customer’s home or to the address indicated by the customer when placing the order. In any case, the goods travel at the risk and peril of the customer, it being agreed that each shipment is carried out by specific assignment and on behalf of the customer and that, therefore, Techtronics is exempt from any liability with the delivery of the same to the carrier or to the customer in the event in which the latter decides to collect the goods personally or through a person in charge. In the event of non-payment, Techtronics will have the right to avail itself, at its sole discretion, of the express termination clause referred to in the following section “Payments and Express Termination Clause” or of any other remedy provided for by law, including compulsory execution or the repossession. If necessary to allow Techtronics to exercise and protect its rights, the customer will allow Techtronics, its employees and agents, access to its premises, for the sole purpose of proceeding with the collection of unpaid products. However, it is understood that Techtronics will in any case have the right to request full compensation for any damages suffered as a result of the customer’s default.

  1. WARRANTY

Techtronics will replace or repair the products or items supplied, or refund the relative price, if, despite correct and diligent use by the customer, defects are found, which must be asserted against Techtronics no later than 12 (twelve) months from the date of delivery, or within that different term from time to time indicated by Techtronics for specific items, or established by law. The items, or the components or parts thereof to which the dispute refers, must be returned to Techtronics within the time period referred to in the preceding paragraph, suitably packaged, shipped by the customer and in compliance with the particular instructions that Techtronics has possibly given at the time of supply or subsequently. The returned items, or components or parts thereof must be accompanied by a note describing the defect, as well as any other information indicated or requested by Techtronics at the time of supply or subsequently. All products or items or parts thereof replaced by Techtronics shall become the sole property of Techtronics. This guarantee replaces any guarantee or other provision established by law regarding the quality or suitability of the products for specific uses, except for those provisions which cannot be waived by law.

  1. PRODUCT INFORMATION AND ITS AVAILABILITY

Unless otherwise indicated, the methods of use of the purchased item or product, with particular reference to its safety, are indicated in the “technical parameters”. Dimensions and other physical characteristics are subject to normal commercial tolerances. It will be the customer’s responsibility to verify, in advance, the suitability of the product or article for the use he wishes to make of it. However, Techtronics reserves the right to discontinue offering any product, or to make changes in product or item specifications, at any time, without notice and without providing justification for such decision. Techtronics recommends that customers check the dimensions and other data relating to the products published in the Catalog or on the virtual showcase of the site, as well as their future availability, before using them for particularly important uses. The information contained in the Catalog is, to the best of Techtronics’ knowledge, correct at the time of going to press. If the customer intends to sell the purchased products to third parties, it will be his responsibility to ensure that these items are complete with all accessory elements such as warnings, labels, instructions, manuals and other useful information, supplied with the items themselves.

  1. LIMIT OF LIABILITY

These terms and conditions outline the full extent of Techtronics’ liability with respect to the items, excluding all other warranties, conditions and terms, express or implied, established by law, including with respect to the quality or fitness of the items for any particular purpose, except however those guarantees that, by law, cannot be waived and in terms of liability for damage from defective products and consumer protection. It is however understood that in no case will Techtronics be liable for the loss of profit or for any indirect damage suffered by the customer due to a fact, act or omission attributable to Techtronics pursuant to these general conditions or in any case in relation to the sale and purchase object of the same. The applications described in the data sheets in the Catalog and the combination of components for their realization do not represent the only possible technical solution. Techtronics assumes no responsibility for the proper functioning of these applications, nor for their compliance with the specific purposes for which they may be intended.

  1. LIMITATIONS OF USE

The products and items sold by Techtronics have not been tested for applications in the medical field or for joint use with medical-surgical devices of any kind or nature. Likewise, Techtronics products have not been tested for nuclear or aeronautical applications. Therefore, Techtronics products must not be used in these areas, in respect of which Techtronics assumes no responsibility for malfunctions and/or damage to property or people.

  1. PAYMENTS AND EXPRESS TERMINATION CLAUSE

Payments can be made in the following ways:

Any payment terms other than those set out above must be agreed in writing with Techtronics, prior to placing your order. All payments will be made to Techtronics without the customer being able to make any set-off, deduction or counterclaim. In case of non-payment of the price due by the customer, within 3 working days from the order, the sales contract will certainly be considered terminated.

  1. CURRENCY

Payments must be made in Euros; other currencies may be agreed in writing between the parties, within the limits permitted by law.

  1. COUNTRY OF ORIGIN

Unless otherwise communicated in writing to the customer, the information contained in the Catalog does not constitute, nor should it be understood, as a declaration of the country of origin, preferential origin, processing, production or assembly of the products or any part of them.

  1. RETURN OF TECHTRONICS PRODUCTS

No returns of items will be accepted without Techtronics’ prior written consent, except as provided in the “Warranty” paragraph above. After obtaining the consent of Techtronics, to be entitled to a refund, the customer must return the items, according to the following conditions:

  1. the items must not have been used and must be returned in the same condition in which the customer received them
  2. the redelivery must take place within 15 (fifteen) days from the date of the purchase invoice
  3. if the conditions of sale do not contain specific instructions (and these have not been subsequently indicated by Techtronics), all parts or components that may have been added to the product or item by the customer must be removed before returning to Techtronics; otherwise, Techtronics will be entitled to remove and/or discard all additional parts
  4. returns are not permitted for software or other items which, although supplied by Techtronics, were not available in the Catalog and, therefore, were specifically ordered upon customer request
  5. Items are returned to Techtronics at the customer’s expense and risk. Products to be returned to Techtronics must be properly packaged and shipped to the Techtronics Logistics Center. – Viale Canada 23 – 00060 Formello Rome
  1. CANCELLATION OF ORDERS

Orders placed with payment by credit card that cannot be completely processed based on warehouse stocks will be partially canceled and the relative sums refunded. Techtronics reserves the right not to do business with certain individuals. Furthermore, Techtronics reserves the right not to accept or cancel any order, whether or not payment has been received, by notifying the customer by fax, telephone or e-mail within 48 (forty eight) hours (excluding Saturdays and public holidays) from receipt of the order. In the event that Techtronics does not accept or cancels an order for which payment has already been made, Techtronics will promptly refund the full amount received, in the manner that will be indicated to Techtronics by the customer for this purpose. However, it is understood that the refund of the price represents the only charge borne by Techtronics for the non-acceptance or for the cancellation of the order, being in this regard excluded any form of responsibility borne by Techtronics. The customer may cancel or revoke purchase orders only within the limits permitted by law, it being understood, in any case, that, subject to mandatory provisions of law, orders relating to the purchase of items which, although supplied by Techtronics, they were not available in the Catalog offer at the time the customer sent the purchase order.

  1. MAJOR FORCE

In the event that the execution of orders by Techtronics is hindered or prevented by force majeure or unforeseeable circumstances, or by the impossibility of procuring the services, materials or items necessary for the fulfillment of the order, unless increased prices, Techtronics may delay the order and, in this case, communicate the delay to the customer; these, within 3 (three) days of receipt of the communication from Techtronics, will have the right to cancel the order in whole or in part. In none of the aforementioned cases will Techtronics be held responsible for the delay, cancellation or inability to carry out the delivery.

  1. COPYRIGHTS AND PATENTS

Techtronics warns the customer that the items presented in the Catalog or on the site (www.techtronics.it) may be the subject of a patent, trademark, copyright or other industrial or intellectual property right owned by Techtronics or third parties. Techtronics owns the copyright relating to the Catalog, which may not be reproduced in whole or in part, without the prior written consent of Techtronics.

Tehctronics is also the owner of the copyright relating to periodicals, which are traditionally sent to customers and for which full or partial reproduction is likewise prohibited, without the prior written consent of Techtronics.

  1. CONTRACTS CONCLUDED WITH CONSUMERS

If the customer qualifies as a consumer, the provisions on consumer protection will apply, including those referred to in the Consumer Code (Legislative Decree 6 September 2005, n. 206 and subsequent amendments), which are not intended to be derogated by these general conditions. In particular, in the event that the consumer customer has concluded the contract away from commercial premises or through remote contracting, he will have the right to withdraw from the contract without any penalty, by sending, within 14 (fourteen) working days starting from the date of receipt of the articles purchased, specific communication, by letter sent by post, to (Techtronics Ltd operational-logistic headquarters Viale Canada 23, 00060, Formello Rome) or by e-mail to the address: info@techtronics.it  The withdrawal letter, bearing the indication “I hereby notify the withdrawal from the sales contract of the following goods…”, must also contain the following information: Techtronics Inc order confirmation number , personal data of the customer (including the tax code), telephone number and/or email address of the customer. In case of exercise of the right of withdrawal, the purchased products must be returned to Techtronics, intact and adequately packaged, within 14 (fourteen) working days from the sending of the aforementioned communication, at the customer’s expense, to the following address: Centro Logistico Techtronics Ltd – Viale Canada 23, 00060, Formello Rome. Upon exercising the right of withdrawal, Techtronics will promptly return any consideration received to the customer.

  1. ORGANIZATION MODEL:

The customer declares to be aware of the current legislation on the administrative liability of the legal person. In this regard, the customer declares that he bases his behavior on the principles of transparency and fairness, in strict compliance with the provisions of the law, that he is aware of the documents relating to the Code of Conduct, as well as the other policies adopted by Techtronics of Anti- bribery, Competition Law Compliance Policy, Gifts and Hospitality and Fraud Risk.   1. PROCESSING OF PERSONAL DATA

Techtronics processes the personal data of its customers in compliance with the provisions of the law, according to the methods and for the purposes specified in the Privacy Policy published at the following Internet address: https://techtronics.it/privacy-policy/ – “Privacy” section & Policies”.   1. JURISDICTION

The Court of Sofia, Bulgaria will have exclusive jurisdiction over any dispute arising from these general conditions of sale and the related product supply contracts. If the customer qualifies as a consumer, any disputes arising from these general conditions will be devolved to the jurisdiction of the judge of the place of residence or domicile of the consumer.
